1. Acceptance of Terms

By accessing or using the Cloud Radix website (cloudradix.com) or any services provided by Cloud Radix, a division of Button Block, LLC, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our website or services.

2. Services

Cloud Radix provides AI Employee solutions, AI automation, search engine optimization (SEO), answer engine optimization (AEO), digital marketing, web development, and AI consulting services. Our services are described on our website and may be modified at any time without prior notice.

AI Employees are custom-trained artificial intelligence agents deployed on dedicated hardware or cloud infrastructure for your business. They are tools designed to assist with business operations and are not substitutes for human judgment in critical decisions.

3. Service Agreements

Specific service engagements are governed by individual service agreements, statements of work, or proposals executed between Cloud Radix and the client. In the event of any conflict between these Terms and a service agreement, the service agreement shall prevail.

4. Payment Terms

Payment terms are outlined in individual service agreements. Unless otherwise specified, invoices are due upon receipt. Cloud Radix accepts payment by credit card, ACH transfer, and check. Late payments may be subject to a 1.5% monthly finance charge. Cloud Radix reserves the right to suspend services for accounts with outstanding balances exceeding 30 days.

5. Intellectual Property

All content on the Cloud Radix website, including text, graphics, logos, images, and software, is the property of Cloud Radix or Button Block, LLC, and is protected by applicable intellectual property laws.

Upon full payment, clients receive ownership of custom-developed websites and content created specifically for their project. Cloud Radix retains ownership of proprietary AI models, training methodologies, software frameworks, and internal tools used in service delivery.

6. AI Employee Disclaimer

AI Employees provided by Cloud Radix are artificial intelligence systems. While they are trained to perform business tasks accurately and reliably, they may occasionally produce incorrect or incomplete outputs. Clients are responsible for reviewing and validating AI-generated content, decisions, and communications before external distribution or action.

Cloud Radix does not guarantee that AI Employee outputs will be error-free, and is not liable for decisions made based solely on AI-generated recommendations.

7. Privacy and Data

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

8. Limitation of Liability

To the maximum extent permitted by law, Cloud Radix and Button Block, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our website or services. Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim in the twelve (12) months preceding the event.

9. Indemnification

You agree to indemnify and hold harmless Cloud Radix, Button Block, LLC, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

10. Termination

Either party may terminate a service engagement as specified in the applicable service agreement. Cloud Radix reserves the right to suspend or terminate access to the website or services for violation of these terms. Upon termination, all outstanding payments become immediately due.

11. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of DeKalb County, Indiana.

12. Changes to Terms

Cloud Radix reserves the right to modify these Terms and Conditions at any time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
